The detailed terms and conditions governing your employment with the Company are set forth below: 1. APPOINTMENT & COMMENCEMENT: 1.1 Your employment with the Company shall commence on or before 2026-11-02 ("Date of Joining"). 1.2 You will be designated as "Senior Software Engineer - Backend Systems" and will report directly to the Engineering Director / VP Technology, or such other executive designated by the Company. 2. WORK LOCATION & MODEL: 2.1 Your base work location shall be Bengaluru, India (Hybrid: 3 Days Office / 2 Days Remote). 2.2 The Company reserves the right to transfer, assign, or second your services to any existing or future branch, subsidiary, or client location within India or abroad. 3. COMPENSATION & BENEFITS: 3.1 Your total Cost to Company (CTC) will be ₹18,00,000/- (Rupees Eighteen Lakh Only) per annum. 3.2 The detailed statutory salary breakdown of your compensation is itemized in ANNEXURE 'A' attached hereto. 3.3 Your monthly compensation shall be paid on the last business day of every month, subject to mandatory statutory tax deductions at source (TDS under Section 192 of the Income Tax Act, 1961), Employee's Provident Fund (EPF), and State Professional Tax (PT). 4. PROBATION & CONFIRMATION: 4.1 You will be on probation for an initial period of 3 (Three) months from the Date of Joining. 4.2 Your performance shall be formally reviewed at the end of the probation period. Upon satisfactory completion, your employment will be confirmed in writing. Unless confirmed in writing, you shall continue to be on probation. 5. SEPARATION & NOTICE PERIOD: 5.1 During the probation period, either party may terminate the employment by giving 30 (thirty) days written notice or gross salary in lieu thereof. 5.2 Post-confirmation, either party may terminate this employment by serving 60 (Sixty) calendar days advance written notice, or gross salary in lieu thereof, subject to management discretion on project handovers. 5.3 The Company reserves the right to require you to serve the full notice period without buyout to ensure an orderly handover of responsibilities and technical assets. 6. CONFIDENTIALITY & PROPRIETARY RIGHTS: 6.1 You acknowledge that during your employment, you will have access to confidential, proprietary, trade secret, and technical information of the Company and its global clients. 6.2 You shall maintain strict confidentiality during and perpetually following the cessation of your employment. 6.3 You will be required to execute the Company's standard Non-Disclosure & Intellectual Property Assignment Agreement prior to onboarding. 7. INTELLECTUAL PROPERTY (WORK-FOR-HIRE): 7.1 In accordance with Section 17 of the Copyright Act, 1957 and applicable patent laws, all inventions, designs, source codes, technical architectures, documentation, and creative works conceived, authored, or reduced to practice by you during your employment shall be deemed "Work Made for Hire" and shall vest exclusively and unconditionally in the Company. 8. NON-SOLICITATION & NON-COMPETE: 8.1 During your employment and for a period of 12 (twelve) months following the cessation thereof, you shall not, directly or indirectly, solicit, induce, or poach any employee, vendor, or active client of the Company. 9. CONDITIONS PRECEDENT & BACKGROUND VERIFICATION: 9.1 This offer is strictly contingent upon: (a) Satisfactory completion of reference and background verification checks; (b) Submission of original relieving letter and service certificates from previous employers; (c) Verification of valid educational qualifications, identity proof (Aadhaar & PAN); (d) Declaration that you are under no non-compete or legal restraint preventing you from joining. 10. TERMINATION FOR CAUSE: 10.1 The Company shall have the right to terminate your employment immediately without notice, compensation, or payment in lieu of notice in the event of gross misconduct, fraud, dishonesty, moral turpitude, violation of Prevention of Sexual Harassment (POSH) laws, or material breach of Company policies. -------------------------------------------------------------------------------- ANNEXURE 'A': ANNUAL CTC COMPENSATION BREAKUP -------------------------------------------------------------------------------- Employee Name: Ananya Sharma Designation: Senior Software Engineer - Backend Systems COMPONENTS MONTHLY (₹) ANNUAL (₹) -------------------------------------------------------------------------------- A.
